Good governance is built meeting by meeting — properly convened boards, recorded dissent, maintained registers, and disclosures made on time. The Companies Act read with Secretarial Standards SS-1 (meetings of the Board) and SS-2 (general meetings) prescribes how notices, quorum, voting, and minutes must work.

How board processes are run
General overview of a compliant board-meeting cycle under the Companies Act, 2013, and Secretarial Standards.
- 1
Fix the annual meeting calendar
Schedule at least four board meetings a year with gaps not exceeding 120 days, plus the AGM and committee meetings, and circulate the calendar to all directors.
- 2
Issue compliant notices and agendas
Send written notice of at least seven days with agenda and notes on agenda items, enabling directors to participate meaningfully, including through video conferencing where permitted.
- 3
Convene with proper quorum
Confirm quorum, record attendance and leaves of absence, table disclosures of interest, and conduct voting as required for each item.
- 4
Draft and finalise minutes
Draft minutes within the prescribed time, circulate for comments, enter them in the minutes book within 30 days of the meeting, and have them signed.
- 5
File event-based outcomes
File applicable forms for appointments, resignations, allotments, and other board decisions within their statutory windows.
