Company Incorporation

Assistance with company formation — selection of structure, drafting of constitutional documents, and registration with the Registrar of Companies.

Company incorporation is the legal process of registering a business entity with the Registrar of Companies (ROC) under the Companies Act, 2013. The right structure — Private Limited Company, LLP, One Person Company (OPC), or Section 8 Company — shapes taxation, compliance load, fundraising ability, and founder liability, so the choice deserves proper advice before any filing begins.

How to incorporate a Private Limited Company in India

General procedural overview of registering a Private Limited Company under the Companies Act, 2013, through the SPICe+ form on the MCA portal. Steps and timelines reflect MCA practice and may change with regulatory updates.

  1. 1

    Obtain Digital Signature Certificates (DSC)

Each proposed director and subscriber obtains a Class 3 Digital Signature Certificate from a licensed Certifying Authority. DSCs are mandatory to sign incorporation forms electronically.

  2. 2

Reserve company name through SPICe+ Part A

Submit one or two proposed names through Part A of the SPICe+ form on the MCA portal. Names must comply with the Companies (Incorporation) Rules and must not be identical or deceptively similar to an existing entity or trademark.

  3. 3

Draft Memorandum and Articles of Association

Prepare the Memorandum of Association (MOA) stating the main objects and the Articles of Association (AOA) governing internal management, in compliance with the Companies Act, 2013, and prescribed Tables F, G, H, I, or J as applicable.

  4. 4

File SPICe+ Part B with linked forms

Submit Part B of SPICe+ along with INC-9 (declaration), AGILE-PRO (GST/EPFO/ESIC/bank account), and e-MOA/e-AOA. The application is digitally signed by directors and certified by a Practising Professional (CS, CA, or CMA).

  5. 5

MCA review and Certificate of Incorporation

The Registrar of Companies reviews the application. If approved, the Certificate of Incorporation along with the Corporate Identity Number (CIN), PAN, and TAN is issued. The company is incorporated from this date.

  6. 6

Open bank account and complete post-incorporation compliances

Open the company bank account, hold the first board meeting within 30 days of incorporation, file INC-20A (declaration of commencement of business) within 180 days, appoint the first auditor, and set up statutory registers and the compliance calendar.
